Upon completing your purchase of our digital products or services, you will receive access instructions via the email address provided during checkout. Access to digital products and online courses is typically granted within 24 hours of purchase confirmation.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Site and its original Content, features, and functionality are owned by FinSecure and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Our Services, including but not limited to all course materials, documents, templates, software, designs, text, graphics, logos, images, audio, and video content, are also protected by copyright and other intellectual property laws and may not be copied, reproduced, distributed, transmitted, displayed, sold, licensed, or otherwise exploited without our prior written permission.

4.2 License to Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and our Services for your personal, non-commercial use, subject to these Terms.

When you purchase our Services, you receive a limited, non-exclusive, non-transferable, and revocable license to use the purchased materials for your own personal or internal business purposes. This license does not include the right to:

• Modify, reproduce, duplicate, copy, or resell any part of our Services;
• Use our Services for any commercial purpose not expressly authorized by us;
• Access or attempt to access the source code of any software contained within our Services;

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site;
• Attack the Site via a denial-of-service attack or a distributed denial-of-service attack;
• Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site;
• Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose;
• Use any device, software, or routine that interferes with the proper working of the Site;
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
• Share access credentials or course materials with others or allow others to use your account;
• Create derivative works based on our Services without our express written consent;
• Use our Services to develop competing products or services.

6. User Content

6.1 Submission of User Content

Our Services may allow you to post, submit, publish, display, or transmit User Content, such as forum posts, reviews, feedback, or other materials. All User Content must comply with these Terms.

6.2 License to User Content

By posting User Content on or through the Site or Services, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the Site and Services, including for promoting the Site or Services. You represent and warrant that you have all rights necessary to grant us this license.

6.3 User Content Restrictions

You agree that your User Content will not violate third-party rights of any kind, including without limitation any intellectual property rights or rights of privacy. You further agree that your User Content will not contain material that is unlawful, defamatory, harassing, abusive, fraudulent, or obscene.

We do not endorse any User Content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with User Content. We reserve the right to remove any User Content from the Site at any time, for any reason, without notice.

7. Warranty Disclaimer

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER FINSECURE NOR ANY PERSON ASSOCIATED WITH FINSECURE MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE OR SERVICES.

WITHOUT LIMITING THE FOREGOING, NEITHER FINSECURE NOR ANYONE ASSOCIATED WITH FINSECURE REPRESENTS OR WARRANTS THAT THE SITE OR SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

FINSECURE HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FINSECURE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, SERVICES, OR ANY CONTENT ON THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

IN NO EVENT SHALL FINSECURE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO FINSECURE IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to defend, indemnify, and hold harmless FinSecure, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Services, including, but not limited to, your User Content, any use of the Site's or Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

10. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services, or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Birmingham, Alabama, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

Notwithstanding the foregoing, FinSecure may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

12. Class Action Waiver

ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION OR AS A NAMED OR UNNAMED MEMBER IN A CLASS, CONSOLIDATED, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site or Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Site or Services.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

15. Entire Agreement

The Terms, our Privacy Policy, and any other agreements or policies referenced herein constitute the sole and entire agreement between you and FinSecure regarding the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site and Services.

16. Waiver

No waiver by FinSecure of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of FinSecure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
